1. Who We Are

SimDelta ("the Platform", "we", "us", "our") is operated by TPC Motorsport Ltd, a company registered in England and Wales under company number 17242254. Our registered office address is on file with Companies House. You can contact us at contact@tpcmotorsport.co.uk for any legal notices or enquiries regarding these Terms.

2. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of SimDelta, located at simdelta.com, including all associated software, APIs, and services (collectively, "the Service").

By creating an account, installing the SimDelta SimHub plugin, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

If you are accessing the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

3. Eligibility

3.1 Age requirement

You must be at least 13 years old to use the Service. By using the Service, you confirm that you meet this requirement. If you are between 13 and 18 years old, you should review these Terms with a parent or guardian before using the Service.

3.2 Account integrity

You must provide accurate information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. The Service

SimDelta is a social platform for sim racing. The Service allows you to:

• —Upload lap telemetry data captured by the SimHub plugin from supported sim racing games;
• —View personal performance dashboards, lap time histories, and statistics;
• —Appear on leaderboards across games, tracks, and car classes;
• —Create and participate in organised events (hot-lap, endurance, and distance competitions);
• —Follow other drivers and compare performance.

The Service is provided on a best-efforts basis. We do not guarantee uninterrupted availability or any specific level of performance.

5. Accounts and Authentication

Account creation and sign-in is handled by a third-party authentication provider, Clerk (see Section 10). You agree to Clerk's own terms of service in addition to these Terms. We are not liable for any failure or interruption of the authentication service.

You may not:

• —Create more than one account per person;
• —Transfer, sell, or share your account with another person;
• —Use automated means to create accounts or access the Service.

You may delete your account at any time by contacting us at contact@tpcmotorsport.co.uk. On deletion, your profile will be removed; however, anonymised or aggregated data derived from your activity may be retained (see Section 6).

6. Data and Content

6.1 Telemetry and race data

When you use the SimHub plugin or any other authorised method to transmit lap telemetry data to the Service (including but not limited to lap times, sector splits, speed traces, throttle/brake inputs, and track identifiers), you assign all rights in that data to TPC Motorsport Ltd upon upload.

We may use uploaded data to:

• —Power your personal dashboard and statistics;
• —Populate leaderboards and event standings;
• —Generate anonymised, aggregated statistics about the sim racing community;
• —Improve and develop the Service;
• —Publish or display data publicly on the Platform (including your driver name and lap times).

6.2 Event images

When you create an event on the Platform, you may upload header and trophy images. You retain copyright in any original images you upload, but by uploading them you grant TPC Motorsport Ltd a worldwide, royalty-free, perpetual licence to store, display, and use those images within the Service.

You must not upload images that:

• —Infringe the intellectual property rights of any third party;
• —Contain offensive, unlawful, or inappropriate content;
• —Contain personal data of other individuals without their consent.

We reserve the right to remove any image at our sole discretion.

6.3 No other user-generated content

Beyond the data types described in Sections 6.1 and 6.2, the Service does not currently permit users to post free-text content (e.g. comments or messages). This may change in future; any such change will be reflected in an updated version of these Terms.

7. Acceptable Use

You agree not to use the Service to:

• —Violate any applicable law or regulation;
• —Upload false, manipulated, or synthetic telemetry data with the intent to gain unfair standing on leaderboards or events;
• —Scrape, harvest, or extract data from the Service using automated tools without our written permission;
• —Attempt to gain unauthorised access to our systems, databases, or other users' accounts;
• —Interfere with, disrupt, or degrade the performance of the Service or its infrastructure;
• —Impersonate any person or entity, or misrepresent your affiliation with a person or entity;
• —Use the Service for commercial purposes (including advertising or promotion) without our prior written consent;
• —Circumvent any technical or access-control measures we implement.

We reserve the right to suspend or terminate your account if we reasonably believe you have breached these rules (see Section 12).

8. Data Accuracy and Disputes

Lap times and telemetry data are recorded by the SimHub desktop plugin and transmitted to the Service. Accuracy depends on factors outside our control, including the simulation game's own physics engine, your hardware, network conditions, and SimHub's data capture logic.

We do not warrant the accuracy, completeness, or reliability of any lap time, ranking, or statistic displayed on the Service.

If you believe a lap time or result has been recorded incorrectly, you may raise a dispute by contacting us at contact@tpcmotorsport.co.uk with a description of the issue. We will investigate in good faith and may correct, remove, or annotate the relevant record where we determine an error has occurred. Our decision is final.

9. Subscriptions and Payments

The Service is currently provided free of charge. We intend to introduce optional paid subscription tiers in the future. When we do so, these Terms will be updated to include:

• —A description of what is included in each tier;
• —Pricing and billing frequency;
• —Cancellation terms (including any minimum commitment period);
• —Refund rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013.

We will notify existing users before any paid tiers are introduced and will not charge you without your explicit consent.

10. Third-Party Services

The Service integrates with or depends on the following third-party services. Your use of those services is subject to their own terms and privacy policies, which we encourage you to review:

We are not responsible for the availability, conduct, or content of any third-party service.

11. Intellectual Property

All intellectual property in the Service itself — including the SimDelta name, logo, website design, software, APIs, and compiled statistics — is owned by or licensed to TPC Motorsport Ltd. Nothing in these Terms grants you any rights in that property.

The names, logos, and branding of sim racing games and associated series are the property of their respective owners. SimDelta is not affiliated with, endorsed by, or sponsored by any game publisher or real-world motorsport entity.

12. Termination and Suspension

We may suspend or terminate your access to the Service at any time, with or without notice, if:

• —We reasonably believe you have materially breached these Terms;
• —Continued access poses a security or legal risk to us or other users;
• —We decide to discontinue the Service (in which case we will give reasonable notice to registered users).

You may terminate your account at any time by contacting contact@tpcmotorsport.co.uk. On termination, your right to access the Service ceases immediately. Sections 6, 8, 11, 13, 14, and 16 survive termination.

13. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• —The Service will be uninterrupted, error-free, or free of viruses or other harmful components;
• —Any defect in the Service will be corrected;
• —The results obtained from using the Service will be accurate or reliable.

Nothing in these Terms affects your statutory rights as a consumer under UK law.

14. Limitation of Liability

To the fullest extent permitted by applicable law:

• —TPC Motorsport Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive loss arising from your use of or inability to use the Service, including loss of data, loss of profits, or loss of reputation;
• —Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed £50 (or the total fees paid by you in the 12 months preceding the claim, whichever is greater).

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and share your personal data. By using the Service, you confirm you have read and understood our Privacy Policy. If you have questions about your data rights (including access, rectification, erasure, and portability under UK GDPR), please contact us at contact@tpcmotorsport.co.uk.

16. Changes to These Terms

We may update these Terms from time to time. When we make a material change, we will:

• —Update the "Last updated" date at the top of this document;
• —Notify you via email or an in-app notification (where reasonably practicable) before the change takes effect.

Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may delete your account.

17. Governing Law and Dispute Resolution

These Terms and any dispute arising from them shall be governed by the laws of England and Wales. You and TPC Motorsport Ltd agree to submit to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer and have a complaint, we encourage you to contact us first at contact@tpcmotorsport.co.uk — most issues can be resolved quickly and informally. You also have the right to refer a dispute to the UK's Online Dispute Resolution platform at ec.europa.eu/consumers/odr (where applicable).

18. Miscellaneous

• Entire agreement. These Terms (together with the Privacy Policy) constitute the entire agreement between you and TPC Motorsport Ltd in relation to the Service and supersede all prior agreements.
• Severability. If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
• No waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations (for example, in the event of a merger or acquisition) with reasonable notice to you.
